THIS DESIGN-BUILD AGREEMENT (hereinafter referred to as the "Agreement") is made and entered into this 22nd day of July, 1997 by and between HASELDEN CONSTRUCTION, INC., a Colorado corporation ("Contractor"), and ISLE OF CAPRI BLACK HAWK L.L.C., a Colorado limited liability company ("Owner"). Capitalized terms used herein shall have the meanings ascribed to such terms in Exhibit A attached hereto.
