Amendment to Employment Agreement
The Employment Agreement dated October 21, 2004 (the " Agreement" ) by and between Mark H. Perry (the " Employee" ) and Netopia, Inc. (the " Company" ) is hereby amended as set forth below.
1. Notwithstanding the provisions of Section 1 of the Agreement, the parties agree that the Company will employ Employee through August 15, 2005, and Employee' s employment with the Company will terminate effective August 16, 2005. Nothing in this amendment shall be deemed to limit the Company' s right to terminate the Employee' s employment at any time for Cause as provided in Section 1(c) of the Agreement.
2. Section 2(a) of the Agreement is amended to provide as follows: " Position . The Company agrees to employ the Employee in an executive position of Interim Senior Vice President and Chief Financial Officer through May 15, 2005.
