AMENDED AND RESTATED
ANADARKO SAVINGS RESTORATION PLAN
DATED JANUARY 1, 1995 WHEREAS, Anadarko Petroleum Corporation (the " Company" ) has heretofore adopted the Amended and Restated Anadarko Savings Plan dated January 1, 1995 (the " Plan" ); and WHEREAS , the Company desires to amend the Plan; NOW, THEREFORE , the Plan shall be amended, effective as of January 1, 2005, as follows: 1. The definition of " SRP Eligible Employee" under Section 1.02 of the Plan shall be deleted and the following shall be substituted therefor:" SRP Eligible Employee : Any Employee who is currently participating in the Savings Plan and whose benefits under the Savings Plan are reduced by limitations in the Code and/or as a result of deferring compensation pursuant to any deferred compensatio ...
