INTERCOMPANY NOTE

FOR VALUE RECEIVED, BGF INDUSTRIES, INC., a Delaware corporation (the "Payor"), hereby unconditionally promises to pay on demand at any time after June 30, 2003 to the order of GLASS HOLDINGS CORP. or its assigns (the "Payee"), in lawful money of the United States of America and in immediately available funds, at such location in the United States of America as the Payee shall from time to time designate, the principal amount of $5,000,000 or, if less, the aggregate principal amount outstanding under this Note. This Note may be prepaid, in whole or in part, at any time from time to time, without premium or penalty; provided that when making such prepayments the Payor pays all interest then accrued hereunder.
